These Terms of Service ("Terms") govern your access to and use of the Regulars platform, including our website, mobile applications, and associated services (collectively, the "Service"). By accessing, creating an account, or using the Service in any manner, you agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must immediately cease use of the Service. Regulars Inc. ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of the updated Terms.
Regulars is a customer intelligence platform designed for businesses to understand and engage their guests. The Service enables businesses to track customer check-ins, manage member benefits, offer promotional incentives, and analyze guest engagement data. Where an approved point-of-sale integration or reconciliation source is available and authorized, the Service may also enrich reporting with transaction data. Regulars provides tools for customer retention, business analytics, and guest intelligence management.
To access Regulars, you must register for an account and provide accurate, complete, and current information. You must be at least 18 years of age or the legal age of majority in your jurisdiction to create an account. Business accounts must be created by authorized representatives of the business. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. Regulars reserves the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.
Regulars operates under a value-confirmed pricing model. Upon registration, you receive full access to the Regulars customer intelligence platform — including per-guest profiles, cohort messaging, churn-signal flagging, and lift estimation — at no cost and without providing payment information. We do not assess a subscription fee until you confirm in writing that the platform has produced measurable value to your business.
When the platform has produced measurable value, Regulars will share three categories of evidence with you: (i) a best-effort lift estimate with explicit confidence intervals, (ii) raw usage indicators verifiable against your point-of-sale records, and (iii) platform-engagement telemetry showing the operator-side surfaces your team has used. Pricing for your account will then be agreed upon in writing between you and Regulars based on the value the platform has produced. No subscription fee is owed unless and until that written agreement is in place.
You have no obligation to enter into a paid subscription. If you determine that the platform is not producing value for your business, you may discontinue use at any time without payment. Regulars makes no claim to data accumulated in your account beyond what is necessary to operate the platform; data export is available on request.
If and when you enter into a paid subscription with Regulars, fees will be invoiced monthly in advance on terms agreed in writing. We accept all major payment methods, including credit cards and bank transfers. Failed payments may result in service suspension after notice and a reasonable opportunity to cure. Continued failure to pay may result in account termination in accordance with our data retention policies.
Because pricing is set after value confirmation, no refund is owed for the pre-confirmation period. After a paid subscription begins, fees are non-refundable once processed; cancellation terminates access at the end of the current billing cycle.
Once a paid subscription is in place, Regulars may modify pricing with thirty days' notice. You will be notified via email of any price changes. If you do not accept the new pricing, you may cancel your account before the new price takes effect.
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Specifically, you agree not to:
Upload or transmit viruses, malware, or other harmful code. Engage in any form of hacking, unauthorized access, or cybersecurity violations. Harass, threaten, defame, or harm other users or third parties. Violate intellectual property rights, including trademarks, copyrights, or patents. Collect or harvest personal information of others without consent. Spam, send unsolicited communications, or engage in phishing activities. Use the Service to violate applicable laws or regulations. Attempt to access restricted areas or features without authorization. Resell, redistribute, or commercially exploit the Service without permission. Interfere with the normal operation of the Service through overloading, denial-of-service attacks, or other disruptive means.
All content, features, functionality, software, and design of the Regulars platform, including but not limited to text, graphics, logos, icons, images, audio clips, and video clips, are the exclusive property of Regulars Inc. or our content providers and are protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, revocable license to use the Service solely for your internal business purposes. This license does not grant you the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or transfer any content. Any unauthorized use of the Service's intellectual property is strictly prohibited.
To the extent you generate, upload, or provide content through the Service (such as business descriptions, promotional messages, or customer communications), you retain ownership of such content. However, you grant Regulars a worldwide, non-exclusive, royalty-free, perpetual license to use, modify, reproduce, and display such content for the purpose of operating and improving the Service. You warrant that you own or have the right to grant such licenses and that your content does not violate any third-party rights or applicable laws.
Your integration of Regulars with approved third-party services, including any point-of-sale provider, is subject to the terms and privacy policies of those third parties. Regulars is not responsible for the security, functionality, or availability of third-party services. You are responsible for maintaining the security of API keys, access tokens, and other integration credentials. Unauthorized sharing of integration credentials may result in unauthorized access to your business data.
To the fullest extent permitted by law, in no event shall Regulars Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or reputation, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Service is to cease use and cancel your account. Some jurisdictions do not permit the limitation or exclusion of liability for consequential or incidental damages, so the above limitations may not apply to you.
The Service is provided on an "as-is" and "as-available" basis. Regulars makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information. Regulars does not warrant that the Service will be uninterrupted, error-free, or secure. Use of the Service is at your own risk.
You agree to indemnify, defend, and hold harmless Regulars Inc., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of applicable law, or your infringement of any third-party rights.
Regulars may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases. You remain liable for all charges accrued up to the date of termination. Regulars may delete your account and associated data according to our data retention policies following account termination.
These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, for the resolution of any disputes arising from these Terms or your use of the Service.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
These Terms, along with our Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and Regulars regarding the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
